As we continue to grow at scale, our team is looking for a Company Secretarial Specialist to join our Company Secretary function.

As a Company Secretarial Specialist, you will be joining a global team who is helping shape the governance of over 160 subsidiaries worldwide. This is a strategic opportunity to influence how a global tech leader operates across global borders.

Overview of the role:

Within this role, you will be an integral part of WiseTech Global’s global corporate governance structure. This role is pivotal in ensuring WiseTech’s global subsidiaries’ adherence to regulatory frameworks. You will work closely with internal stakeholders and external advisors to support subsidiary board operations, corporate transactions, annual compliance, statutory reporting and corporate rationalization.

Key responsibilities of this role:

  • Coordinate and monitor compliance filings for WiseTech’s subsidiaries across ANZ, APAC and EMEA mainly.
  • Liaise with external corporate agents and advisors to ensure timely filings and updates.
  • Support the preparation of board and shareholder resolutions, minutes, and other governance documents.
  • Manage and maintain statutory registers and legal entity management systems (e.g. Diligent Entities).
  • Assist with M&A transactions, integrations and entity rationalization projects.

To be successful within this role you will have:

  • 5+ years of proven experience in a governance or company secretarial role within a multinational organization or company secretary service agency.
  • Experience in managing subsidiary compliance for entities in overseas jurisdictions.
  • Knowledge of global compliance frameworks and cross-border governance practices is essential.
  • Proficient in Diligent Entities or similar Legal Entity Management Systems.
  • Exceptional organizational and communication skills, with the ability to manage multiple priorities and stakeholders.
  • Detail-oriented, self-driven, and capable of working autonomously.
  • Strategic mindset with the ability to identify governance risks and opportunities.
